These Terms of Service (“Terms”) govern your use of the Digital Tool Box platform (“Service”) operated by Digital Tool Box (“we”, “us”, or “our”) at digitaltoolbox.in. By creating an account or using the Service, you agree to these Terms and our Privacy Policy.
Digital Tool Box is a WhatsApp Business API (WABA) SaaS platform that enables businesses to send messages, manage contacts, run campaigns, and build automated chatbots through the official Meta WhatsApp Business Platform.
We act as a Business Solution Provider (BSP) and reseller of WhatsApp Business API access. Our Service is subject to Meta’s platform policies in addition to these Terms.
Access to the platform requires a paid subscription. Current plans are:

All prices are in Indian Rupees (INR) and inclusive of applicable GST where required.
Payments are processed via Razorpay. By providing payment information, you authorize us to charge your selected payment method on a recurring basis.
Refunds: Subscriptions are non-refundable except where required by applicable Indian consumer protection law. If you cancel, your access continues until the end of the current billing period.
We reserve the right to change pricing with 30 days’ notice. Continued use after the notice period constitutes acceptance of the new pricing.

You are responsible for complying with all WhatsApp Business Policies at all times. This includes:
We are not liable for any suspension or restriction of your WhatsApp Business Account by Meta resulting from your policy violations.
All rights, title, and interest in the Digital Tool Box platform, including its design, code, and branding, are owned by us. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your subscription term.
You retain ownership of all content and data you create or upload to the platform. By using the Service, you grant us a limited license to process your data solely to provide the Service.
By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
By us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or if required by law. We will make reasonable efforts to notify you before suspension except in cases of serious violation.
Upon termination, your access to the platform will cease. We will retain your data for 30 days after termination, during which you may request an export, after which it will be deleted in accordance with our Privacy Policy.
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.
Message delivery depends on Meta’s WhatsApp infrastructure, recipient device status, and network conditions. We do not guarantee message delivery rates.
To the maximum extent permitted by law, Digital Tool Box shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the 3 months preceding the claim.
You agree to indemnify and hold harmless Digital Tool Box and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights including WhatsApp’s policies.
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in India.
Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through negotiation or mediation.
We may modify these Terms at any time. We will provide at least 14 days’ notice of material changes via email or a notice within the platform. Your continued use of the Service after the effective date of changes constitutes your acceptance.
